General Terms and Conditions for Business Customers
Deliveries: Deliveries shall be made and services rendered only on our terms and condition of delivery and payment. Our written order confirmation shall be binding. Our quotations shall be subject to change without notice.
Prices: Prices shall apply ex-works excluding packaging and transport insurance. Should there be such increases in the prices of materials, wages, salaries and new taxes that are applicable at the time of acceptance of order, as have led to an increase in costs, we reserve the right to calculate the respective surcharge on the day of delivery.
Terms of payment: Our invoices shall be due for payment latest 14 days of the date of invoice minus 2% cash discount for prompt payment or net within 30 days. Payments shall be used for the oldest claims due for payment. In case of terms of payments that have been agreed exclusively or stipulated by us, only such terms shall apply. Bills of exchange will be conditionally accepted only after prior agreement. In case of non-compliance with deadlines for payment, default interests of 4% in excess of the State's Central Bank discount shall be paid as from the date of maturity.
Shipment: If not otherwise agreed, goods shall always be shipped by the cheapest possible means. Goods shall always be sent on the account and at the risk of the buyer, also in case of post-paid deliveries.
Delivery time: Given delivery times shall not be binding on us. We reserve the right – whenever necessary – to make partial deliveries.
Reservation of ownership rights: Goods supplied by us shall remain our property until full payment and in case of the submission of bills of exchange or checks, until the cashing thereof.
Return shipments: The return shipment of goods shall be undertaken only with our consent and shall be done post-paid and carriage paid. Processing fee shall be charged in accordance with the effort expended.
Place of fulfillment and Legal venue: Place of fulfillment and legal venue for supplies and payments shall be Schweinfurt. Prices specified in our price list do not contain the value added tax; the statutorily mandated rate will be specified separately on the invoice.
We wish to draw attention to the fact that guarantee claims shall be invoked and accepted by us only if the parts are in the original state. Modification or damage shall lead to the loss of all guarantees.

Area of applicability: These General Terms and Conditions shall apply to all deliveries made by RECKNAGEL GmbH & Co. KG to end consumers (§ 13 of the Civil Code)

Conclusion of offers and agreement: Offers and price specifications contained in brochures, information and other advertisement shall be subject to change without notice and non-binding. The customer shall be bound by any order that is signed by the latter but not yet accepted by us, for 14 calendar days from the date of dispatch. We shall have the right to accept such offer within this period. The time of the receipt of our acceptance by the customer shall be determinant to compliance with the deadline. The dispatch of the article ordered shall also qualify as acceptance.
Right of revocation, Consequences of revocation: You may revoke your contractual declaration within 14 days in text form (mail, fax, email) and without providing reasons or also by simply returning the articles.
The deadline shall begin to count upon receipt of these instructions in text form.
The timely dispatch of revocation shall suffice for compliance with the deadline for revocation.

In the event of a valid revocation, services rendered by both parties shall be returned on mutual basis and if applicable, benefits enjoyed, surrendered. Should you be unable to return services received or surrender benefits enjoyed or are able to return or surrender same only in a deteriorated state, you shall pay us compensation for lost value.
You shall pay compensation for any deterioration of the article only if such deterioration is attributable to the handling of the article in a manner that goes beyond the verification of the properties and functionality.
"Verification of properties and functionality" shall stand for the testing and trying of the respective article in a manner that is possible and usual in retail outlet.
Obligations to reimburse payments shall be met within 30 days. For you, the deadline shall begin to count with the dispatch of your declaration of revocation while it shall count for us as from the date of receipt.
Right of return/ Consequences of return: You may return the article received without reasons within 14 days through return shipment.
The deadline shall begin to count upon the receipt of these instructions in text form however not before the receipt of the article. The timely dispatch of the article shall suffice for compliance with the deadline.
Return shipment shall be made to the address specified in item 2. You shall bear the regular costs of return shipment if the article delivered is the same as the article ordered and if the price of the article returned does not exceed an amount of EUR 40.00 or if – in the event of a higher price of the article – you have not yet made payment or made a contractually agreed partial payment at the time of revocation.
In the event of a valid return, services already received by both parties shall be returned and if applicable, benefits enjoyed surrendered. In case of any deterioration of the article and for benefits that cannot be or can only be partially surrendered or can be surrendered only in a deteriorated state, you shall pay us compensation for lost value.
You shall pay compensation for lost value for deterioration in the article only if such deterioration is attributable to the handling of the article in a manner that goes beyond verification of properties and functionality.
"Verification of properties and functionality" shall stand for testing and trying of the respective article in a manner that is possible and usual in retail outlet. Obligations to reimburse payments shall be met within 30 days. For you, the deadline shall begin to count with the dispatch of the article while it shall count for us as from the date of receipt.
Prices and Costs of shipment: The prices specified in our current price list contain the statutory value added tax.
If not otherwise exclusively agreed in writing, our prices shall apply ex-works in addition to postage and packaging.
The cost of postage depends on the destination country and the size of the package.
Delivery and Delivery time: Delivery shall be made through UPS. If a fixed deadline or fixed schedule has not been agreed in writing, our delivery to the address provided by the customer shall be made within 10 working days.
In case of advance payment, delivery shall be made only after our account has been credited with the full purchasing price.
Payment: Payment shall be made through Pay-Pal or by cash-on-delivery.
Reservation of ownership rights: The article shall remain our property until full payment. In the event of any third-party breach of the reserved goods, the buyer shall draw attention to our ownership and inform us without delay to enable us to assert our ownership rights.
Warranty and Liability: In case of defects of the goods delivered, the buyer shall be entitled to statutory rights.
Compensation claims by the buyer based on obvious material defects of the goods delivered shall be ruled out if the buyer fails to inform us of the defect within a period of two weeks of delivery of the goods.
